In these Terms of Service, the following definitions apply:
By registering for an account, submitting an application, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service, together with our Privacy Policy and Cookie Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity. If you do not agree to these Terms, you must not use the Platform.
We reserve the right to update these Terms at any time. Material changes will be communicated by email or prominent notice on the Platform. Continued use after changes constitutes acceptance of the revised Terms.
GrandShow provides a native advertising network that enables Advertisers to run targeted native ad campaigns across a network of Indian publisher websites, and enables Publishers to monetise their digital properties through the display of native advertisements.
The Platform includes campaign management tools, targeting and optimisation technology, real-time analytics dashboards, and a payment processing system for both Advertiser billing and Publisher payouts.
GrandShow reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with reasonable notice where practicable.
Advertisers must provide accurate and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activities under your account.
All Ad Creatives submitted must comply with our content policies (see Section 6), be accurate, non-deceptive, and comply with all applicable laws including the Advertising Standards Council of India (ASCI) Code and UK advertising regulations. GrandShow reserves the right to reject or remove any Ad Creative at its sole discretion.
Advertisers are solely responsible for ensuring that their campaigns, landing pages, and products or services comply with all applicable laws in India and any other jurisdiction where the ad may be served. This includes consumer protection laws, sector-specific regulations, and data protection requirements.
Advertisers may not use targeting options to discriminate unlawfully on the basis of caste, religion, gender, race, age, disability, or any other protected characteristic.
Publishers must apply to join the GrandShow network. GrandShow reviews all applications and reserves the right to reject or revoke publisher access at any time without cause.
Publishers must implement the GrandShow ad code exactly as specified. Publishers may not modify, obstruct, or interfere with the ad serving code. Publishers must not artificially inflate impressions or clicks through any means.
Publishers must not generate or allow invalid traffic on their inventory. This includes click fraud, bot traffic, incentivised clicks, or any other means of artificially inflating metrics. Accounts found generating invalid traffic will be terminated immediately and any pending payouts may be withheld.
Publisher earnings are calculated based on valid impressions and clicks as measured by GrandShow's systems. GrandShow's measurement is final. Payouts are made in Indian Rupees (INR) to the bank account provided by the Publisher, subject to the payment schedule and minimum validity thresholds defined in the Publisher dashboard.
The following content and conduct are strictly prohibited on the Platform:
Advertisers prepay for campaigns in Indian Rupees (INR). All prices are exclusive of applicable taxes. GrandShow will issue invoices and receipts for all transactions. In case of billing disputes, contact us within 30 days of the invoice date.
Publisher payouts are made in INR to the bank account registered in the Publisher dashboard. GrandShow reserves the right to withhold payments where there is suspected fraudulent activity or policy violations pending investigation.
All taxes arising from payments made through the Platform are the sole responsibility of the respective Advertiser or Publisher. GrandShow may be required to withhold Tax Deducted at Source (TDS) in accordance with Indian tax law where applicable.
GrandShow and its technology, branding, and platform design are the intellectual property of Grand Show Ltd. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our written consent.
By submitting Ad Creatives or other content to the Platform, Advertisers and Publishers grant GrandShow a non-exclusive, worldwide, royalty-free licence to use, display, and deliver that content for the purpose of operating the Platform.
You represent and warrant that you own or have the necessary rights and permissions to all content you submit to the Platform, and that such content does not infringe any third-party intellectual property rights.
To the maximum extent permitted by applicable law, GrandShow and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of revenue, loss of data, or loss of business opportunity.
GrandShow's total liability to any User for any claim arising from or related to these Terms or the Platform shall not exceed the total amounts paid by that User to GrandShow in the three months preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
Either party may terminate their account at any time with written notice. GrandShow may suspend or terminate access to the Platform immediately without notice in cases of material breach, suspected fraud, or invalid traffic activity.
Upon termination: (a) Advertiser campaigns will cease delivery; (b) Publisher ad code will stop serving; (c) any outstanding valid Publisher earnings will be paid out on the next scheduled payment date; (d) GrandShow reserves the right to retain data as required by law or for legitimate business purposes.
These Terms of Service are governed by and construed in accordance with the laws of Scotland, United Kingdom. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the Scottish courts, unless otherwise required by mandatory local law.
Where a dispute cannot be resolved by agreement, the parties agree to attempt mediation before commencing formal legal proceedings. For Users in India, disputes may also be subject to applicable Indian law where mandatory provisions of the Consumer Protection Act 2019 or other Indian statutes apply.
